1. Who these Terms are between

These Terms & Conditions ("Terms") are a legal agreement between you ("User", "you") and [Legal Entity Name Pending], the operator of Perfume Marketplace ("Platform", "we", "us"), registered address [Registered Address Pending]. By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

2. What the Platform is — and is not

Perfume Marketplace is a listing and connection service that allows independent, individual users to publish listings of pre-owned or partially-used perfumes and to communicate with one another to arrange a sale.

The Platform is not:

• the seller, owner, or manufacturer of any product listed;
• a party to any transaction between a buyer and a seller;
• a warehouse, courier, shipping, or logistics provider;
• a payment processor, escrow agent, or guarantor of payment;
• an authentication, inspection, or certification service for any product;
• an arbitrator or guarantor of the outcome of any dispute between users.

Every sale arranged through the Platform is a direct transaction between the buyer and the seller, conducted entirely outside the Platform (payment, delivery, and any exchange of goods happen off-Platform, by whatever method the two users agree on). We do not receive, hold, or transmit any payment for goods listed on the Platform, and we do not guarantee that any listing is accurate, that any seller will deliver, or that any buyer will pay.

3. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract under the Indian Contract Act, 1872 to use the Platform. The Platform is currently intended for users located in India. By registering, you confirm that you meet these requirements and that the information you provide is accurate.

4. Your account

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at support@example.com if you suspect unauthorised use of your account. We are not liable for any loss arising from your failure to keep your credentials secure.

5. Listings and the Seller Declaration

Before publishing a listing, every seller must affirmatively confirm the Seller Declaration (see the Seller Declaration policy) and accept the version of these Terms then in effect. We record the timestamp, the Terms version, and the account that accepted it. A seller who publishes a listing represents that:

• the information and photographs in the listing are accurate to the best of their knowledge;
• they have the legal right to sell the item listed;
• the item is not counterfeit, stolen, or otherwise prohibited under our Prohibited Items Policy.

We do not independently verify any listing before or after publication. See Buyer Safety for what buyers should do before paying.

6. Prohibited conduct

You agree not to: list counterfeit, stolen, hazardous, or otherwise prohibited items; misrepresent yourself, a product, or a transaction; harass, threaten, or defraud another user; attempt to circumvent our reporting or moderation systems; scrape, reverse-engineer, or interfere with the Platform's operation; or use the Platform for any unlawful purpose. 7. Moderation, suspension, and termination

We may, at our discretion and without prior notice, remove or reject any listing, hide or remove any review, and warn, suspend, or permanently ban any account that we reasonably believe violates these Terms, is the subject of credible reports, or otherwise poses a risk to the Platform or its users. You may stop using the Platform and request deletion of your account at any time by contacting support@example.com.

8. No liability for user conduct or transactions

To the maximum extent permitted by applicable law, [Legal Entity Name Pending] disclaims all liability for: the accuracy, quality, safety, or legality of any listing; the conduct, solvency, or reliability of any user; any dispute, loss, damage, injury, or fraud arising from a transaction between users; or any failure of a buyer or seller to perform their obligations to one another. Your use of the Platform, and any transaction you enter into with another user, is at your own risk.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Indian law.

9. Indemnity

You agree to indemnify and hold harmless [Legal Entity Name Pending], its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your listings, your conduct, your breach of these Terms, or your violation of any law or third-party right.

10. Intellectual property

You retain ownership of the content (including photographs and text) you submit to the Platform, and you grant [Legal Entity Name Pending] a non-exclusive, royalty-free licence to host, display, and distribute that content on the Platform for the purpose of operating the service. The Platform's own branding, design, and software are the property of [Legal Entity Name Pending] and may not be copied or used without permission.

11. Intermediary status

Perfume Marketplace is an "intermediary" as defined in Section 2(1)(w) of the Information Technology Act, 2000. We do not initiate the transmission of, select the receiver of, or modify any listing or message posted by users. We observe the due diligence required of intermediaries under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, including publishing these Terms and our Privacy Policy, maintaining a grievance redressal mechanism (see Contact & Grievance), and acting on actual knowledge or a valid order from a court or government authority to remove unlawful content.

12. Reporting and takedowns

If you believe a listing or user violates these Terms, applicable law, or a third party's intellectual property rights, please use the Report Listing or Report User option, or contact grievance@example.com. We will review reports and take appropriate action, which may include removing content, at our discretion.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by a new version published on this page with an updated effective date. Continued use of the Platform after a change takes effect constitutes acceptance of the revised Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, the courts at [Jurisdiction Pending] shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Platform.

15. Severability and force majeure

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control.
